Annual General Meeting of the Newfoundland and Labrador Triathlon Association Inc.

• Place: Guv’nor Inn, 389 Elizabeth Avenue, St. John’s

Business to be transacted will include:

• Presentation of financial statements and other reports
• Election of the Board of Directors
• Motion to dispense with the appointment of auditors
• Ratification of addition to By-Law #1 (below):

PARTICIPATION BY WAY OF TECHNICAL MEANS

A director may participate in a meeting of the Board of Directors by way of technical means which enables them to communicate well with the other directors. In such a case, the director shall be deemed to have attended the meeting.

A meeting of directors may be held via teleconference, web conference, or video conference.

RESOLUTION IN WRITING

A resolution in writing, signed by all of the directors entitled to vote on that resolution at a meeting of directors, is as valid as if it had been passed at a meeting of directors.

A resolution distributed via email or similar technical means, to which all directors entitled to vote on that resolution at a meeting of directors have responded approving the resolution, is as valid as if it had been passed at a meeting of directors.

All current members are invited to attend the meeting. There are vacancies to be filled on the Board this year, and members interested in serving on the Board are advised to contact admin@nulltrinl.com to express that interest. The meeting will be followed by a social gathering in the pub.
